Chapter 1 General Provisions
Article 1 (Application of the Terms and Conditions)
Digital Wallet Solutions, Corp. (the “Company”) provides its services under the name “Smiles Connect,” and has established the Smiles Connect Terms of Service (the “Terms and Conditions”) thereof. Your use of “Smiles Connect” services (the “Service(s)”), whether offered directly by Company or through its subsidiaries or partners, are subject to the following Terms and Conditions and any operating rules or policies that may be published from time to time by Company. By using the Services you agree to be bound by the Terms and Conditions..
Article 2 (Publication and Changes to the Terms and Conditions)
Company shall publish the Terms and Conditions on this www.smilesconnect.com website (the “Site”) or by other methods designated by Company.
Company may, at its sole discretion, change, add or remove any portion of the Terms and Conditions at any time by posting new Terms and Conditions on the Site or by notifying you through any other methods specified by Company. Your continued use of the Services after such changes are posted will constitute your agreement to such changes.
Article 3 (the Services)
Company offers Customers with “Smiles Connect” telecommunications services available in the designated service areas in Japan in the form of SIM cards or eSIMs. To use the Service, service registration and payment shall be required, Customers shall make available a communications terminal capable of using SIM card or eSIM provided by the Company. Company may require proof of identity prior to the sale of or use of the Services. Company will keep record of the Services provided to the Customer.
Customers are responsible for their own end equipment (such as handsets, plug adaptors and chargers) and its proper configuration and installation. Customers are also responsible for all preparation to install the Service, such as preparing and inserting SIM cards (interface cards) and setting adequate protocols. Customers shall agree to follow all instructions to properly insert the SIM card into your mobile phone.
Article 4 (Definition of Terms)
The following terms (in singular or plural) as used in this Terms and Conditions shall have the following meanings:
a. “Customer” shall mean, the customer of the Service.
b. “SIM Card” shall mean, c (IC) card that contains subscriber information, such as identification numbers and telephone numbers.
c. “eSIM” shall mean, an embedded SIM, which is an integrated circuit that provides the same functionality as a SIM card by electronically rewriting its information to the SIM embedded in the communications terminal.
d. “Smiles” shall mean, the mobile money transfer service “Smiles Mobile Remittance” provided by Digital Wallet Corporation (“DW”).
e. “MNP” or “Mobile Number Portability” shall mean, a system that allows Customers to retain their existing mobile phone numbers while utilizing the services of a different mobile phone company.
Article 5 (Network Coverage)
The network coverage to be offered by Company shall be in accordance with the scope of the service area of NTT Docomo, Inc. (“NTT DOCOMO”) or SoftBank located in Japan, depending on the nature of the contract with the Customer.
The service coverage area by NTT DOCOMO is based on the contract between the Company and Meek Corporation, the company which provides the telecommunications network for the Company.
The service coverage depends on the network, technical and operational capabilities of NTT DOCOMO or SoftBank and is subject to change without prior notice from the Company, NTT DOCOMO or SoftBank.
Article 6 (Governing Law)
The Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter (including any non-contractual disputes or claims) shall be exclusively governed by, and interpreted in accordance with, the Japanese law.
Article 7 (Jurisdiction)
All controversies and disputes arising out of or relating to this Terms and Conditions shall be exclusively submitted to the Tokyo District Court.
Chapter 2 Application and Acceptance, etc.
Article 8 (Application)
- In the event that you wish to use the Service, please confirm that you agree to be bound by the Terms and Conditions and apply for the Service from the Smiles Connect web application (the “Application”) integrated in the Smiles application. You will be requested to provide us with your personal information as well as a copy of your proof of identity and to create a Smiles account.
- In the event that you wish to apply for SIM card or eSIM with voice call function, you shall be requested to show additional documents specified separately by Company to confirm your identity (Verification of information that identify you, such as name, address, date of birth based on the provisions of Article 9 of the Act on Identity Verification of Contractors, etc. by Mobile Voice Communication Carriers and Prevention of Unauthorized Use of Mobile Voice Communication Services (Act No. 31 of 2005)).
- In the event Customer is already a Smiles user, the identification referred to in the preceding paragraph may be substituted by having shared with Customer’s consent, Customer’s personal information obtained by DW for the provision of Smiles. The Company may share the registered personal information of the customer obtained for the purpose of identification for the purpose of providing Smiles. In the event of any change in the registered personal information, Customer shall promptly register such change through Smiles.
- The Contract start date is the day the customer applies and the company accepts the application.
- The service start month is as follows:
- For data SIMs, applications made between the 1st and 22nd of the month will start in the current month, while Applications made on or after the 23rd will start in the following month.
- For voice SIMs, the Service will start in the current month when the SIM card is activated (enabled) after the application.
Article 9 (Acceptance of Application, etc.)
- Applications to use the Service will be accepted unless they fall within the grounds for rejection stated in Article 10 (Rejection of Application).
- Services will be provided in the order of Application acceptance, although Company may alter the order as necessary.
Article 10 (Rejection of Application)
- Company may refuse to accept the Application for use of the Service if applicant falls under any of the following:
- If applicant does not meet the requirements for use of the Service.
- When it is technically extremely difficult to provide the Service or to maintain the devices needed for the Service.
- When Company determines that the applicant would likely fail to make the required payment under the Service Contract (e.g., The Application will be cancelled after five (5) days, if no payment has been made after completing the Application).
- When the applicant has defaulted or acted unlawfully under the ongoing Service Contract or the Service Contract that he/she has previously entered into, or when the relevant contract has been terminated by Company.
- When the application form is incomplete, contains false statements or the identity verification procedure has not been followed by the Customer.
- When there is a risk of applicants using the Service in a manner that is illegal, unjustified, offensive to public order, damaging to the reputation of Company or its services, or causing serious inconvenience to those who use the service of Company.
- Other reasons for Company to determine that it is inappropriate to accept the application.
- In case Company rejects the Application based on the preceding paragraph, Company will notify the applicant to that effect.
Article 11 (Restriction on Assignment of Rights and Obligations)
You may not assign, sell, pledge or otherwise dispose of its rights and obligations under the Service Contract (as defined in Article 12).
Article 12 (Customer)
Customers of the Service (the “Customer(s)”) shall use the Service in accordance with the Terms and Conditions and other provisions related to the Service (the “Service Contract”). Customers shall be limited to individuals.
Article 13 (Unit of Contract)
Company concludes one Service Contract for one telephone number. Accordingly, there can only be one customer per contract.
Chapter 3 Change of Contract Terms
Article 14 (Change of Service)
- Company reserves the right, for any reason, in its sole discretion, to terminate, suspend or change any aspect of the Site or the Services including but not limited to products, services, content, features, or hours of availability. Company may impose limits on certain features of the Site or the Services, or restrict your access to part or all of the Site or the Services without notice or penalty.
- Smiles Connect has types of plans that can be changed and that cannot be changed. Customers on changeable plans can change their plans via the Application in the Smiles application. This also applies to Customers who wish to change their calling options. Please see the aservice details for information on the availability of plan changes.
- The provisions of Article 10 (Rejection of Application) shall apply mutatis mutandis to the case where the request set forth in the preceding paragraph is made. If the request for changes under the preceding article is accepted, the changes shall apply from the first day of the following month.
Article 15 (Change of Customer’s Name, etc.)
Customer shall promptly notify Company if there is a change in the name, address, place of residence, or other matters, with a document proving the fact of the change. The procedure of notification shall be in accordance with the procedure described in Article 8.3.
Article 16 (Succession of Contractual Status)
- In the case where the individual who is the Customer (hereinafter referred to as “Former Customer” in this Article) dies, the Service Contract pertaining to the Former Customer shall be terminated. However, the successor may continue to use the Service by submitting a notification to Company before two weeks have elapsed from the date of inheritance (If there are more than two heirs, one of them will be designated as the representative to make a request to Company, the same shall apply when there is any change. At that time, Company may request for documents that prove said successor is the representative). When said request has been made, the successor shall take over the status of the Former Customer under the relevant Service Contract (Including the contractual obligations of the Former Customer).
- The provisions of Article 10 (Rejection of Application) shall apply mutatis mutandis to the cases of the preceding paragraph.
Chapter 4 Customer’s Obligation
Article 17 (Customer’s Obligation)
Customer shall comply with the obligations which are specified in the Terms and Conditions.
Article 18 (Prohibited Matters)
Customer shall not engage in any of the following activities:
- Use the Service in a manner that is illegal, unjust, or offensive to public order and morals.
- Use the Service in a manner that may damage the credibility of the Company or its service.
- Use the Service in a manner that interferes with the use of the Service by any direct or indirect users of Company’ services.
- Using the Service for the purpose of selling or licensing its use to a third party.
- To engage in any of the following;
- Sending e-mail that may interfere with the sending or receiving of e-mails.
- In addition to (a) above, acts that interfere or may interfere with the use or operation of the Internet-related facilities of Company or other companies, or with the average range of use by other subscribers.
- Acts of advertising, promoting, or soliciting others without permission, or acts of transmitting, describing, or reprinting text, etc. that causes or may cause others to feel aversion to the Service.
- Impersonating another person in the use of any of the services.
- Infringing or threatening to infringe the copyrights, portrait rights, trademarks, patents, or other rights of others.
- Acts that infringe or may infringe the property, privacy, etc. of others.
- Acts that discriminate against or slander others, or defame their honor or trustworthiness
- Transmitting, describing, or posting information, images, sounds, letters, documents, etc. that are obscene, abusive, or otherwise harmful to children or young people.
- Establishing or soliciting to establish a pyramid scheme or pyramid-like business scheme.
- Violating the Act on Specified Commercial Transactions (Act No. 57 of 1976) in connection with Multilevel Marketing Transactions (pyramid schemes).
- Falsifying or deleting information that can be used through the Internet connection function.
- Transmitting or posting harmful computer programs such as viruses.
- Criminal acts or acts that induce or incite criminal acts
- In addition to (a) through (m) above, acts that violate laws, regulations, or customs.
- Acts that violate public order and morals, such as prostitution, violence, cruelty, etc., or acts that cause disadvantage to others.
- Other acts that interfere with the operation of the Services.
- Acts that encourage access to content that falls under any of the prohibited actions up to (p) above.
Article 19 (Breach of Customer’s Obligations)
If Customer violates Article 17 (Customer‘s Obligation) or Article 18 (Prohibited Matters), Company may demand compensation from the Customer for damages suffered by Company as a result. In addition, if Company compensates a third party for damages caused by the Customer’s use of the Service, Company may demand compensation from the Customer for said damages.
Chapter 5 Quality Assurance, Limitation of Liability, etc.
Article 20 (Quality Assurance or Limitation of Warranty of the Service)
- All or part of the network may be unable to be connected, or the network during the connection may be disconnected upon using the Service when the network of mobile communication of NTT DOCOMO or SoftBank is highly congested, condition of the receptions deteriorates significantly, or otherwise in accordance with the provisions of NTT DOCOMO or SoftBank.
- Company, by providing the Service, does not guarantee the availability, delay time, or any other aspect relating to the quality of network communication.
Article 21 (Exemption of Company)
Unless otherwise explicitly provided in the Terms and Conditions, Company shall not be liable for compensation, refund or exemption of charges arising from violation of the quality assurance specified in Article 20 (Quality Assurance, Limitation of Warranty of Liability, etc.) or for any other damages (regardless of the cause) incurred by the Customer in connection with the use of the Service, including, but not limited to, compensation, refunds, and reduction or exemption of fees.
Chapter 6 Restriction, Discontinuation, Suspension of Use, and Service Termination
Article 22 (Restriction of Use)
- Pursuant to Article 8 of the Telecommunications Business Law, during a natural disaster or emergency, Company has the authority to limit the use of the Service to ensure that priority communications necessary for disaster prevention or relief, transportation, powering supply, maintaining order, and other urgent public interest communications are not disrupted.
- Company may limit the Service for viewing or obtaining of child pornography as outlined in the provisions of the Punishment of Activities Relating to Child Prostitution and Child Pornography and the Protection of Children Act (Act No. 52 of 1999).
- In the event Company detects incoming messages containing URLs or phone numbers of sites that may pose a risk of fraud or criminal activity, Company may restrict such incoming messages and block access to such URLs without prior notice.
- In the event Customer’s communication is made using communication procedures that continuously and heavily occupy bandwidth or such conditions, or if Company detects such conditions, Company may restrict the communication speed or volume by limiting such communication traffic or bandwidth or by other means.
- The Service may implement communication optimization measures to ensure the quality of communication. Optimization of communication encompasses the following controls:
- compression of data volume to the extent that does not affect the appearance of documents, images, etc. (compressed data cannot be restored to the original data)
- management of communication traffic related to specific applications or port numbers (including traffic control when viewing videos)
- Controlling bandwidth for specific applications, port numbers, etc.
Article 22 (Suspension of Service)
- Company may suspend the provision of Service for the following reasons:
- if maintenance or construction of the telecommunications facilities is necessary, or,
- in the event of an unavoidable reason, such as the failure of telecommunications facilities
- If Company suspends providing the Service, it will provide you with a minimum of 14 days’ notice in advance regarding suspension based on Item 1 of the preceding paragraph. In case of suspension in accordance with Item 2, you will receive notice of the suspension and the reason and period of suspension in advance. This provision shall not apply in case of an emergency or unavoidable circumstances.
Article 24 (Suspension of Use by Customer, etc.)
- Company may suspend the provision of the Service or restrict the use of the Service if Customer falls under any of the following criteria:
- failure or likely failure to fulfill the payment obligations under the Service Contract (i.e., Service Fee not paid by the 6th day of the month following the payment due date.)
- providing untrue statements during Service application.
- violation of Article 15 (Change of Customer’s Name, etc.) or providing false information requested under Article 15.
- violation of Article 17 (Customer’s Obligation).
- violation of Article 18 (Prohibited Matters).
- Any other violations of the Terms and Conditions.
- When Company determines that the Customer is not appropriate for the Service.
- When Company takes measures pursuant to the preceding paragraph, it shall provide advanced notice of the reasons for and duration of such measures. This provision shall not apply in case of an emergency or unavoidable circumstances.
- In the event that circumstances prevent you from receiving the Service, such as the loss of your device, you may request that the Service be suspended by completing the form on the Site. In such case, the Service may be reactivated upon Customer’s request via the form on the Site.
Article 25 (Service Termination)
- Company reserves the right to discontinue all or part of the Service at its own discretion.
- When Company intends to discontinue all or part of the Service pursuant to the preceding paragraph, it will provide advanced notice to the Customer to that effect at least one month prior to the date of discontinuation.
- The Service will be automatically terminated when the telecommunication services provided by NTT DOCOMO or SoftBank are terminated due to cancellation of contract or other reasons.
Chapter 7 Contract Cancellation
Article 26 (Cancellation of Service Contract by Company)
- Company may terminate the Service Contract based on the following reasons:
- In the event of suspension or restriction of the Service pursuant to the provisions of the first paragraph of Article 24 (Suspension of Use by Customer, etc.), and the Customer does not resolve the issue which constitutes reasons for cause of such the suspension or restriction by the 10th of the first month after [LH4] [LH5] the date of suspension or restriction. (However, if such suspension or restriction is due to the reasons set forth in Paragraph 1, Item 1 of the Article 24, Company may terminate the Service Contract within four (4) days of such suspension or restriction.)
- In case where Company find there is a reason pursuant to the first paragraph of Article 24 (Suspension of Use by Customer, etc.) that may interfere with business operations of Company.
- When Company cancels the Service Contract pursuant to the preceding paragraph, Company shall notify the Customer to that effect in advance.
- In the event all or any part of the Service is terminated pursuant to the provisions of the first paragraph of Article 25 (Service Termination), the Service Contract pertaining to the terminated Service shall be deemed terminated on the date of such termination.
Article 27 (Cancellation of Service Contract by the Customer)
- When Customer wishes to terminate the Service Contract, the cancellation date shall be the last day of the month of cancellation or until Customer’s phone number has been successfully transferred to their next carrier via MNP. The Customer shall submit the cancellation form through the Application integrated in the Smiles application. In this case, the Customer shall return the SIM card to Company in accordance with paragraph 2 of this Article.
- When Customer cancels the Service Contract, the loaned equipment, if any, shall be returned to Smiles and the Deposit fee shall be refunded to Customer’s Smiles Wallet account.
- In the event of cancellation under this Article, the Customer shall bear all Service Fees (defined in Article 29) and financial obligations for the month of cancellation.
- Notwithstanding sub-article 3. of this Article or Article 30, in the event Customer cancelled the Service Contract within fourteen (14) days of the commencement date, Customer shall be entitled to a full refund of the amount paid to Company up to the time of acceptance of such cancellation.
Article 28 (Use of Software)
- Customer may use the software provided by Company when using communications through the Service.
- Customer shall comply with the terms of the software license agreement separately specified by Company for the use described in the previous section.
Chapter 8 Fees, etc.
Article 29 (Customer Obligations)
- Customer shall pay Company a fee for the use of the Service in accordance with the price list[RK7] [LH8] (the “Service Fee”).
- Customer’s obligation to pay the initial fee occurs upon Company’ acceptance of the Application for Service. The monthly Service Fee is due on the billing start date, and the one-time fee is due when Company approves the application to modify contract details related to the accrual of the fee.
- In the event the use of Service is suspended or restricted pursuant to Article 22 (Restriction of Use), Article 23 (Suspension of Service), and Article 24 (Suspension of Use by Customer, etc., etc.), the calculation of the amount of the Service Fee for the Service during the period of such suspension or limitation shall be treated as if the Service had been provided.
Article 30 (Minimum Period of Use)
Although there is no Contract term and the Customer can cancel at anytime, in the event of cancellation of the Service Contract, change of contract terms, or any other event specified in the Terms and Conditions within twelve (12) months, the Customer shall pay three thousand Japanese yen (3,000) as the operational fee.
Article 31 (Payment Procedure)
The Customer shall pay the Service Fee by using Smiles Deposit shall be made by the method prescribed by Smiles so that automatic deduction may start on the date and by the procedure designated by Company.
Article 32 (Surcharge)
Customers who unlawfully evade payment of the Service Fee shall pay Company an amount equal to twice the amount of such evasion.
Article 33 (Late Fee)
If the Customer fails to pay the Service Fee or other obligations under the Service Contract, the Customer shall pay the late fee at a rate of 14.6% per annum for the number of days specified by Company from the day after the Service Fee is due, to the day preceding the date of actual payment (the rate per annum shall be the rate per 365 days, even of the period includes leap year days).
Article 34 (Surcharge Payment Method, etc.)
The provisions of Article 31 (Fee Payment Procedure) shall apply accordingly to the case of Article 32(Surcharge) and Article 33 (Late Fee).
Article 35 (Consumption Tax)
If the Customer owes Company an obligation for the Service and consumption tax is imposed on such payment under the provisions of the Consumption Tax Law (Law No. 108 of 1988) and related laws and regulations, the Customer shall pay Company an amount equivalent to consumption tax on the payment.
Chapter 9 Customer Information
Article 36 (Secrecy of Communications)
- Company shall handle the Customer’s information pertaining to secrecy of communications in compliance with Article 4 of the Telecommunications Business Law (Law No. 86 of 1984).
- Notwithstanding the preceding paragraph, Customer agrees in advance that Company may, with the consent of the Customer, and when it is a legitimate business act, such as when necessary to outsource business based on Article 40 (Business Outsourcing), or when permitted based on the provisions of laws and regulations (including guidelines or instructions provided by the regulatory authorities with jurisdiction over Company’s business), learn, use or disclose to a third party, secrecy of communications. This includes statistical processing of communication records and disclosure of knowledge obtained this Article as a result of such processing after making it impossible to identify individual communication.
Article 37 (Trade Secrets, etc.)
Unless otherwise agreed upon by Company in advance, Customer shall not disclose to any third party any technical information of Company obtained in connection with the use of the Service, the content of the Service, or any other information that Company designates as confidential and discloses to the Customer.
Article 38 (Personal Information)
- Company handles personal information obtained in connection with the provision of the Service within the scope of following purposes of use:
- To conduct business in connection with the provision of the Service (including contacting or notifying the Customer as deemed necessary for business purposes).
- To conduct questionnaires and analysis to maintain and improve the level of the Service.
- To send information about Company’s services (including information about Company’s other and new services), such as by email.
- For other uses within the scope of the consent obtained from the Customer.
- For the purpose of screening the Customer (including the applicant for the purpose of this paragraph) for execution or renewal of the designated Service Contract (the “Subject Contract”), or for the purpose of investigating the Customer’s ability to pay the amount due under the Subject Contract, Company may provide personal information concerning the Customer of the Subject Contract to a personal credit information agency of which we are a member and to a company with which we are affiliated for credit services.
- Company shall disclose the Customer’s name and phone number in writing to the sale distributors or the agent for the Service Contract (hereinafter referred to as “Distributors, etc.”) for purposes such as payment of commission fees to the Distributors, etc., business alliance between Company and the Distributors, etc., and contact from the Distributors, etc. to the Customer.
- When Company outsource to a third party all or part of the handling of personal information relating to the provision of the Service, Company may, under its supervision, provide personal information retained by Company to such third party.
- The Customer’s submission of personal information is voluntary while, if the information necessary for the provision of the Service Contract is not submitted, the Service Contract cannot be provided.
- Customers may request that Company notify them of the purpose of use of retained personal data and/or request for disclosure, correction, addition or deletion, cease of use, or cease of third-party provision of personal information. For details, please refer to the “Privacy Policy” of Digital Wallet Group (https://www.digitalwallet.co.jp/en/privacy-policy).
Chapter 10 Miscellaneous Provisions
Article 39 (Expression of Intention by Electromagnetic Methods)
Delivery of documents, notifications, submissions, etc. between Company and the Customer may be performed by electromagnetic means to the extent designated by Company.
Article 40 (Business Outsourcing)
Company can outsource all or part of its operations relating to the provision of the Service to the third parties designated by Company.
Article 41 (Services Required for Use of the Service)
Ancillary services, equipment such as electricity supply, etc. needed for use of the Service shall be the Customer’s responsibility, except as explicitly provided in the Terms and Conditions.
Article 42 (Technical Matters)
The basic technical matters related to the Service shall be separately determined by Company.
Article 43 (Report)
Company shall be able to request the Customer to report on the usage status of the Service to a reasonable extent as necessary. In this case, the Customer shall promptly make the report.
Article 44 (Sending Location Information[RK13])
- NTT DOCOMO or SoftBank, which provides the communications infrastructure between Customer’s mobile device and the communications server for the Service, may infer the location and movement information of Customer’s mobile device from the location information and communications status of the communications equipment to which the mobile device using the Service is connected, such information to be collected or used in a form that does not personally identify Customer. Customer accepts in advance to the collection and use of such location information.
- Company shall not take responsibility for any damage resulting from the sent location information pursuant to the provision of the preceding paragraph for whatever reason.
Article 45 (Collecting Information)
Company may collect and use the information necessary to provide technical support, etc. to the Customer with respect to the Service. The Customer shall acknowledge that Company may not be able to provide sufficient technical support, etc. if information necessary is not provided from the Customer.
Article 46 (Representations and Warranties Against Anti-Social Forces)
- Upon and after the conclusion of the contract for use of service, the Customer represents and warrants that himself/herself is not a member of or controlled or influenced by an organized crime group, a company affiliated with an organized crime group, or any other person or group engaged or involved in organized crimes (hereinafter collectively referred to as the “Anti-Social Forces”).
- In cases where the Customer is reasonably recognized to fall under any of the following items, Company can terminate the contract for use of Service without advance notification.
- Being a member of the Anti-Social Forces;
- The Anti-Social Forces is substantially involved in the business operation;
- Using the Anti-Social Forces;
- Being involved in or supports Anti-Social Forces by providing funds or extending facilities;
- Having a socially condemnable relationship with the Anti-Social Forces;
- Using fraud, violence, or threatening language against the parties concerned, either by themselves or by using a third party.
- The Customer who falls under any of the items of the preceding paragraph shall be liable for compensation of damages incurred by Company resulting from said termination of Service and/or Service Contract by Company and shall not be able to claim from Company compensation for damages incurred by him/herself.
Article 47 (Provision of Information to Other Telecommunicator Carriers)
The Customer agrees that in the case where the Customer fails in making payment, fulfilling other obligations, or does not respond to the customer confirmation provided in Article 46, Company shall, pursuant to the request from the Telecommunications Carriers other than Company, provide information (limited to that necessary to identify the Customer and payment status, which is separately determined by Company) such as name, address, Customer’s identification number, and date of birth to the relevant Carrier.
Article 48 (Change of Technical Specification, etc. of the Service, etc.)
Company shall not bear the remodeling or removing cost even when it is necessary for Customer to remodel or remove the SIM card being used by the Customer due to changes in technical specifications and other conditions of Service or renewal of telecommunications equipment.
Article 49 (Separability)
Even if it is found that a part of the Terms and Conditions is invalid and unenforceable, the rest of the Terms and Conditions shall remain valid and may continue to be enforceable in accordance with the terms.
Article 50 (Consultation)
If any question arises between Company and the Customer regarding the Service or these Terms and Conditions, Company and the Customer shall resolve the question upon consultation in good faith between the parties.
Article 51 (Others)
Company’s rights arising out of the Terms and Conditions shall not be waived unless Company explicitly notify the Customer that Company waive the rights.
General rules
Article 1 (Calculation Method of Usage Fee, etc.)
- The Service Fee shall be calculated based on the amount specified in the price list.
- Among the Service Fees paid by the Customer based on the Service Contract, the basic usage fee, data transmission [LH14] fee, Universal Service Fee, etc. shall be calculated based on the monthly charge. (For the communication fee of the month that does not include the start day and the end day of the communication, the charge month shall be the month that includes the start day of the communication). However, when necessary, Company shall calculate them at any time according to the period separately determined by Company, regardless of the monthlyp charge.
- Company will charge the call fees that the Customer incurs under this Service contract for the current month’s usage by adding them to the billing amount for the following month.
- Company may change the starting date of the charge month set forth in the preceding paragraph if doing so is unavoidable to carry out the business.
Article 2 (Handling of Discounts)
Depending on the type and timing of the Service Contract, the Customer may be able to receive a discount based on the charge amount specified in Table 1 of the price list and the contents and conditions specified by Company.
Article 3 (Rounding)
Customer shall, in the calculation of the Service Fee and others, round down the fraction if the calculation result contains a fraction of less than 1 yen, unless otherwise specified in the price list.
Article 4 (Payment of Usage Fee)
- Customer shall pay the Service Fee and the amount equivalent to the consumption tax thereon by the payment procedure designated by Company in it’s website (https://www.smilesconnect.com).
- Notwithstanding the provisions of the preceding paragraphs, Company may change the payment date of all or part of the Service Fee.
Appendix: Service Fees / Contents of Service
The amount of fee shown in the following tables exclude the amount equivalent to consumption tax unless noted otherwise. The amount equivalent to consumption tax is calculated based on the tax rate in effect at the time of use of the Service.
